1. Acceptance of Terms

By creating an account, accessing, or using Naiori ("the Service"), you agree to:

• These Terms of Service
• Our Privacy Policy
• All applicable laws and regulations

If you do not agree to these terms, you must not use the Service.

2. Description of Service

Naiori is an AI Business Intelligence Platform that provides:

• AI Prompt Optimization: Prompts optimized for 34 AI models from multiple providers (OpenAI, Anthropic, Google, Perplexity, Grok, and others)
• Multi-Modal Generation: Text, video, image, and audio content generation
• Business Intelligence: Market analysis, competitive intelligence, strategic planning
• Curated Ideas: AI-analyzed business opportunities from market research
• Prompt Studio: AI-optimized prompt generation and management
• Real Government Data: Live U.S. BLS, Census, BEA, and Federal Reserve data enrichment

3. Account Registration and Security

3.1 Account Creation

To use Naiori, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain and update your account information
• Not share your account with others
• Not create multiple accounts to circumvent limitations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of unauthorized access

4. Subscription Plans and Billing

4.1 Available Plans

Naiori offers three subscription tiers:

• Payment Processing: All payments processed securely through Stripe
• Billing Cycle: Monthly or annual (paid in advance)
• Auto-Renewal: Subscriptions renew automatically unless canceled
• Price Changes: We'll notify you 30 days before any price increases
• Taxes: Prices exclude applicable taxes (sales tax, VAT, GST)

4.3 Cancellation and Refunds

• Cancel Anytime: You can cancel your subscription at any time
• Access Until End: You retain access until the end of your current billing period
• No Prorated Refunds: We do not offer prorated refunds for partial months
• 14-Day Guarantee: First-time subscribers can request a full refund within 14 days
• Free Plan: You can always downgrade to the free Explorer plan

4.4 Usage Limits

Each plan has specific usage limits:

• Limits reset on the 1st of each month
• Unused limits do not roll over
• Exceeding limits requires plan upgrade
• We reserve the right to enforce rate limits to prevent abuse

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Naiori for:

• Business intelligence and market research
• Content generation for your business
• Strategic planning and competitive analysis
• Prompt engineering and AI model experimentation
• Educational and learning purposes

5.2 Prohibited Uses

You may NOT use Naiori to:

• Violate Laws: Engage in illegal activities or violate regulations
• Harm Others: Generate content that harasses, threatens, or harms individuals or groups
• Spread Misinformation: Create deliberately false or misleading content
• Infringe Rights: Violate intellectual property, privacy, or other rights
• Manipulate Markets: Generate content for market manipulation or fraud
• Bypass Limitations: Circumvent usage limits, rate limits, or access controls
• Scrape or Abuse: Scrape, reverse engineer, or abuse the Service
• Resell Service: Resell, redistribute, or white-label Naiori without permission
• Automated Abuse: Use bots or automated systems to abuse the Service
• Security Threats: Introduce malware, viruses, or attempt to breach security

5.3 Content Moderation

We reserve the right to:

• Block, remove, or moderate content reported to us that violates these terms
• Suspend or terminate accounts for violations
• Report illegal activity to authorities

Naiori does not proactively review user-generated content. Enforcement is reactive — based on user reports or detected abuse signals.

6. Intellectual Property

6.1 Your Content

• You Own Your Content: You retain all rights to your prompts, queries, and inputs
• AI-Generated Output: You own the AI-generated content created through your use of the Service
• License to Us: You grant us a license to use your content to provide and improve the Service
• Responsibility: You're responsible for ensuring your content doesn't infringe third-party rights

6.2 Our Content

• Platform IP: Naiori's platform, UI, design, and features are our intellectual property
• Trademarks: "Naiori" and our logos are our trademarks
• Limited License: We grant you a limited, non-exclusive license to use our platform
• No Transfer: These terms don't transfer any IP rights to you

6.3 Third-Party AI Models

Content generated by third-party AI models (OpenAI, Anthropic, Google, etc.) is subject to their respective terms:

• You own the AI-generated output (per most providers' terms)
• AI providers may use your prompts to improve their models
• Naiori is not responsible for AI model outputs or accuracy

7. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy to understand:

• How we store and protect your data
• Your privacy rights and controls
• How we operate and improve the service
• Google Sign-In and Google Analytics 4 data flows

Sign in with Google: When you authenticate via Google, Naiori receives only the minimum scopes required (openid, email, profile) — email, name, profile picture, and a unique Google account ID for session linking. We do not access Google Drive, Gmail, Calendar, or any other Google services. Sign-in is handled through Supabase Auth and our Google OAuth client is verified by Google.

8. Service Availability and Support

8.1 Service Availability

• Uptime: We strive for 99.9% uptime but don't guarantee uninterrupted service
• Maintenance: Scheduled maintenance will be announced in advance
• Third-Party Dependencies: Service availability depends on third-party AI providers
• Force Majeure: We're not liable for service disruptions beyond our control

8.2 Support

• All Plans: Email support at support@naiori.ai
• Response Time: Best-effort response within 1–2 business days. We do not guarantee 24/7 availability.

8.3 Service Modifications

We may:

• Add, modify, or remove features
• Update AI models and capabilities
• Change usage limits with notice
• Discontinue features with 90 days' notice

Naiori is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free service
• Freedom from viruses or harmful components

9.4 Limitation of Liability

To the maximum extent permitted by law:

• No Indirect Damages: We're not liable for indirect, incidental, special, or consequential damages
• Maximum Liability: Our total liability is limited to the amount you paid in the past 12 months
• Third-Party Actions: We're not liable for third-party AI model outputs or errors

10. Termination

10.1 Termination by You

• Cancel a subscription: Cancel anytime via your account's billing portal. Cancellation takes effect at the end of your current billing period.
• Delete your account entirely: Email privacy@naiori.ai from your account email. We'll verify your identity and process the deletion within 30 days.
• Request a data export: Email privacy@naiori.ai before deletion to receive a copy of your personal data.

10.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your account is used for illegal or abusive purposes
• Payment fails and is not resolved within 15 days
• You engage in fraudulent activity
• Required by law or court order

10.3 Effect of Termination

• Your access to the Service ends immediately (or at period end for voluntary cancellations)
• Your data is deleted within 30 days (unless legally required to retain)
• Fees paid are non-refundable unless otherwise stated
• You remain liable for any outstanding fees

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, please contact us at support@naiori.ai to resolve the issue informally. We'll work with you in good faith to find a solution.

11.2 Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any legal action or proceeding relating to these terms shall be brought exclusively in the courts located in Austin, Texas.

11.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except for disputes that qualify for small claims court.

12. Changes to Terms

We may update these Terms of Service from time to time. We will:

• Update the "Last Updated" date at the top
• Notify you via email for material changes
• Give you 30 days to review before material changes take effect
• Allow you to cancel if you don't agree to new terms

Continued use after changes constitutes acceptance of the updated terms.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Naiori.

13.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

13.3 No Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right.

13.4 Assignment

You may not assign these terms without our consent. We may assign our rights to any affiliate or successor.
